Terms and Condition
This website (“Wingrocer Website”) is owned and operated by Webpee Sdn Bhd (formerly known as Dexter International Sdn Bhd (“We”, “Us”or “Wingrocer”).
Through Wingrocer Website, we link you to various vendors (“Vendors”) for you to purchase a variety of goods and products including groceries, toiletries, prepared meals, non-prepared food and miscellaneous daily products (hereinafter collectively referred to as “Goods“) to be delivered to you. When you place an order for Goods from our Vendors (“Order”), we act as an agent on behalf of that Vendor to facilitate, process and conclude the order and subsequently for either us or the Vendor to deliver your Order to you. Vendors may be owned and operated by third party vendors, our affiliate companies, or us.
Access & Use
Your access to, and use of the materials contained in the Wingrocer Website is conditional on your acceptance and compliance with the terms, conditions, notices and disclaimers contained in this document or elsewhere on the Wingrocer Website (“Terms and Conditions”). By using Wingrocer Website, you agree to be bound by these Terms and Conditions. If you do not agree or does not fall within the Terms and Conditions, please do not use the Wingrocer Website.
Wingrocer reserves the right to amend the Terms and Conditions without notice at any time. Your use of our Wingrocer Website following such changes constitutes your agreement to be bound by the new Terms and Conditions.
Use of Wingrocer Website
To make purchases you need to register for an account at Wingrocer Website and must be over eighteen (18) years of age. When you register for an account, we will ask you to provide your personal information including a valid email address, a mobile phone number and a unique username and password. To purchase an Order, depending on which payment method you opt for, you may need to provide us with your credit card details. Your unique password should not be shared with anyone and you agree to keep it secret at all times. You are solely responsible for keeping your password safe. Save for cases of fraud or abuse which are not your fault, you accept that all Orders placed under your account are your sole responsibility. You must ensure that the details provided by you on registration or at any time are correct and complete. You must inform us immediately of any changes to the information that you provided when registering by updating your personal details.
We shall not be liable for Orders that encounter delivery issues due to incomplete, incorrect or missing information provided by you. You are obliged to provide information that is complete, accurate and truthful for the proper processing of the Order, including your delivery address and contact information.
If you wish to delete your Wingrocer’s account, please send us an email requesting the same.
We may restrict, suspend or terminate your account and/or use of the Wingrocer Website, if we reasonably believe that:
someone other than you are using your account; or
where you are suspected or discovered to have been involved in any activity or conduct that is in breach of these Terms and Conditions, or involved in activity or conduct which we deem in our sole discretion to be an abuse of the Wingrocer Website.
When you place an Order with us, we will confirm your Order by sending you a confirmation email containing the Order receipt. Where applicable, Orders will include delivery fees and any applicable tax (e.g. goods and services tax, value-added tax, etc.).
Minimum Order Value – Some of our Vendors require a minimum order value (“MOV”) before an Order can be placed and delivered to you. Where an applicable Order fails to meet the MOV, you will have the option of paying the difference to meet the MOV or to add more Goods to your Order.
Special Instructions – we and the Vendor (as the case may be) reasonably endeavour to comply with your special instructions for an Order. However, in some cases where this is not feasible, possible or commercially reasonable, we and/or the Vendor reserve the right to proceed to prepare the Order in accordance with standard operating procedures. Neither us nor the Vendor shall be responsible to replace or refund an Order which does not conform to special instructions provided by you.
We are not obligated to provide ingredient information or allergen information on the Wingrocer Website. Further, we do not guarantee that the Goods sold by Vendors are free of allergens. If you have allergies, allergic reactions or dietary restrictions and requirements, please contact the Vendor before placing an Order on Wingrocer Website.
Please note that your Order may be subject to additional terms and conditions provided by the Vendor.
Prior to placing the Order, you are required to check whether your delivery area is covered
Once you have selected your Goods, it will be added into your cart.
To complete an Order, please follow the onscreen instructions after clicking ‘Checkout’. You may be required to provide additional details for us to complete your Order. You are required to review and confirm that all the information you provide, including the amounts, delivery details, personal details, payment information, and voucher codes (if applicable) is true, accurate and complete before you click “PLACE ORDER”. An Order is successfully placed when you receive an email confirmation containing your Order receipt from us.
Please contact us immediately via our in-app customer support chat feature if you wish to cancel your Order after it has been placed. You have the right to cancel your Order provided a Vendor has not yet accepted your Order.
You have the right to a refund for a cancelled Order only if a Vendor has not yet accepted your Order. Should you still decide to cancel your Order after it has been accepted by the Vendor, you understand that no refunds (whether in whole or in part) will be issued to you and you forfeit the delivery of your cancelled Order.
We reserve the right to cancel any Order and/or suspend, deactivate or terminate your account in its sole discretion if it reasonably suspects or detects fraudulent behavior or activity associated with your account and/or with your Order.
Prices quoted on the Wingrocer Website shall be displayed in Malaysia Ringgit (RM) and subject to applicable tax. Prices and offers on Wingrocer Website may vary from the prices and you accept that offers offered by our Vendors (either on their own websites, mobile applications, or at their brick-and-mortar outlets).
The way we display the prices of our Goods may vary depending on the Vendor, and the prices reflected on Wingrocer Website may include or exclude GST, VAT or such other equivalent tax.
A breakdown of the prices and additional charges are displayed before Checkout. When you place an Order, you agree to all amounts, additional charges and the final ‘Total’ amount which is displayed to you.
Delivery fees are chargeable on every Order unless:
you opt to collect your Order directly from the Vendor (“Pick-Up”);
you have a valid promotional or discount voucher and apply it at Checkout; or
unless stated otherwise.
Prices indicated on the Wingrocer Website are as at the time of each Order and may be subject to change.
Currently ,we only accept online payment. Such other payment method may be offered from time to time.
If you have existing credit in your account or valid promotional or discount vouchers, you can use this pay for part or all of your Order as the case may be.
After an Order is successfully placed, you will receive an email confirmation from us with your Order receipt. Delivery fees will not appear in your Order receipt if you opt for Pick-Up.
Delivery, Pick-Up and Vendor Delivery
You understand that we and/or our Vendors offer their Goods in specific delivery areas and our Vendors vary from delivery area to delivery area. Delivery areas may expand, shrink or change depending on weather and traffic conditions and situations of force majeure.
We will seek to deliver your Order to the delivery address provided by You. You may choose for your Order to be delivered or scheduled for a specific time. An estimated delivery time will be provided to you in your email confirmation, but delivery times shall vary depending on factors that are not controlled by us (e.g. order quantity, distance, time of day (peak periods), weather conditions, traffic conditions, etc.). You acknowledge that the delivery time we provide is only an estimate and Orders may arrive earlier or later. To ensure that you do not miss a delivery of an Order, you should ensure that either you or someone is at the delivery location to receive the Order once an Order is placed.
In cases where we attempt to deliver an Order but we are unable to do so due to the reasons caused by you, including but not limited to:
no one was present or available to receive the Order; or
customer was uncontactable despite attempts to reach the customer via the phone number provided; or
lack of appropriate or sufficient access to deliver the Order successfully; or
lack of a suitable or secure location to leave the Order.
If you remain uncontactable or fail to receive the Order within ten (10) minutes from the time the Order arrives at your delivery address, we reserve the right to cancel the Order without refund or remedy to you.
Upon receipt of your Order, if you discover that there are issues with your Order (e.g. wrong order, defective order, or missing items) please contact customer support immediately. In some cases, we may request for photographic proof and/or additional information to properly investigate the issue with your Order. If we determine that the Order and/or Goods you received are not of satisfactory condition or quality, we will compensate you for your Order or parts of your Order. Compensation is solely at our discretion.
Where available, you will have the option of collecting your Order in-person directly from Wingrocer’s and/or the Vendor’s premises (“Pick-Up”) instead of having the Order delivered to You. Your email confirmation will indicate the time for you to Pick-Up the Order (“Collection Time”). The Vendor will prepare the Order by the Collection Time. In some cases, a reasonable delay may be expected. The Vendor agrees to hold the Order for you at the Vendor’s premises for no more than a reasonable period of twenty (20) minutes from the Collection Time (“Holding Time”) and shall not be obliged to provide the Order to you if you fail to Pick-Up your Order within the Holding Time.
In the event of unreasonable delays in Pick-Up attributable to you, you bear the risk of any damage or loss of Goods or any deterioration in quality or change in condition of the Goods (e.g. changes in the temperature fit for consumption). In this case, you shall not be entitled to a replacement, refund or replacement of the Goods. You alone are responsible for inspecting the Goods/Order when you Pick-Up your Order and shall report any issues and/or defects to the Vendor before leaving the Vendor’s premises.
In some cases, our Vendors may deliver the Order to you (“Vendor Delivery”). While we will use reasonable efforts to provide prior notice to you on Vendor Delivery, this may not always be possible. Where Vendor Delivery applies, we may ask you to contact the Vendor directly in the event of issues or delays in your delivery. We shall not be responsible in any way for Orders or Goods that are delivered by Vendors.
Vouchers, Discounts and Promotions
From time to time, we may run marketing and promotional campaigns which offer voucher codes, discounts, and other promotional offers to be used on the Wingrocer Website (“Vouchers”). Vouchers are subject to validity periods, redemption periods, and in certain cases, may only be used once.
Vouchers may not be valid when used in conjunction with other promotions, discounts or other vouchers. Additional terms and conditions may apply to Vouchers.
Vouchers cannot be exchanged for cash.
We reserve the right to void, discontinue or reject the use of any Voucher without prior notice
We may exclude certain Vendors from the use of Vouchers at any time without prior notice to you.
Information Collected & Use of Information
Wingrocer collects the details provided by you on registration together with information we learn about you from your use of our service and your visit to Wingrocer Website.
By using the Wingrocer Website, you expressly accept and give your unconditional consent that we may use any and/or disclose information about your demographics in any manner which does not reveal your identity for the purpose of marketing, promotional, strategic development, research and customer care.
The content of the Wingrocer Website is protected by copyright, trade marks, database and other intellectual property rights. You may retrieve and display the content of the Wingrocer Website on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Wingrocer Website without written permission from Wingrocer Website.
No licence is granted to you in these Terms and Conditions to use any intellectual property of Wingrocer.
Representations, Warranties, Limitations & Indemnity
You acknowledge and agree that the content on the Wingrocer Website are provided on an “as is” and “as available” basis, and that your use of or reliance upon Wingrocer Website and any content, goods, products or services accessed or obtained thereby is at your sole risk and discretion. While we makes reasonable efforts to ensure the provision of Wingrocer Website and the services we offer, are available at all times, we do not warrant or represent that the Wingrocer Website shall be provided in a manner which is secure, timely, uninterrupted, error-free, free of technical difficulties, defects or viruses.
You may not use the Wingrocer Website for any of the following purposes:
Disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material;
transmitting material that encourages conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any relevant laws, regulations or code of practice;
gaining unauthorised access to other computer systems;
interfering with any other person’s use or enjoyment of the Wingrocer Website;
breaching any laws concerning the use of public telecommunications networks;
making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.
You will indemnify us against all losses, liabilities, costs and expenses reasonably suffered or incurred by us, all damages awarded against us under any judgment by a court of competent jurisdiction and all settlements sums paid by us as a result of any settlement agreed by us arising out or in connection with:
any claim by any third party that the use of the Wingrocer Website by you is defamatory, offensive or abusive, or of an obscene or pornographic nature, or is illegal or constitutes a breach of any applicable law, regulation or code of practice;
any claim by any third party that the use of the Wingrocer Website by you infringes that third party’s copyright or other intellectual property rights of whatever nature; and
any fines or penalties imposed by any regulatory, advertising or trading body or authority in connection with the use of the Wingrocer Website by you.
Availability of the Wingrocer Website
Although Wingrocer aims to offer you the best service possible, we make no promise that the services at the Wingrocer Website will meet your requirements. Wingrocer cannot guarantee that the service will be fault free. If a fault occurs in the service, you should report it by email at [email protected] and we will attempt to correct the fault as soon as we reasonably can.
Your access to the Wingrocer Website may occasionally be restricted to allow for our system updates, maintenance or the introduction of new facilities or services. Wingrocer will attempt to restore the service as soon as it reasonably can.
Wingrocer’s right to suspend or cancel your registration
We may suspend or cancel your registration immediately at our sole discretion without assigning any reason whatsoever.
You can cancel this agreement at any time by informing us in writing. If you do so, you must stop using the Wingrocer Website.
The suspension or cancellation of your registration and your right to use the Wingrocer Website shall not affect either party’s rights or liabilities.
Paragraphs 6, 7 and 10 of these Terms and Conditions shall survive cancellation.
The Wingrocer Website is provided by Wingrocer without any warranties or guarantees of any kind either express or implied, including without limitation, warranties of title or implied warranties of merchantability of fitness for a particular purpose. You must bear the risks associated with the use of the Internet.
Wingrocer will ensure that information or material included on the Wingrocer Website is correct, reputable and of high quality. Wingrocer will not be responsible for any errors or omissions or for the results obtained from the use of information or for any technical problems you may experience with the Wingrocer Website. If Wingrocer is informed of any inaccuracies in the information or material on the Wingrocer Website, Wingrocer will attempt to correct the inaccuracies as soon as it reasonably can.
In particular, Wingrocer disclaim all liabilities in connection with the following:
incompatibility of the Wingrocer Website with any of your equipment, software or telecommunications links;
technical problems including errors or interruptions of the Wingrocer Website;
unsuitability, unreliability or inaccuracy of the Wingrocer Website;
inadequacy of the Wingrocer Website to meet your requirements.
To the full extent allowed by applicable law, you agree that we will not be liable to you/or any third party for any consequential or incidental damages (including but not limited to loss of revenue, loss of profits, loss of anticipated savings, wasted expenditure, loss of privacy and loss of data) or any other indirect, special or punitive damages whatsoever that arise out of or are related to the Wingrocer Website.
These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia and any disputes will be resolved exclusively only by the Courts of Malaysia.
Wingrocer makes no promise that materials on the Wingrocer Website are appropriate or available for use in locations outside Malaysia, and accessing the Wingrocer Website from territories where its contents are illegal or unlawful is prohibited. If you choose to access this site from locations outside Malaysia, you do so on your own initiative and are responsible for compliance with local laws.
You may not assign, sub-license or otherwise transfer any of your rights under these Terms and Conditions.
If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.
If you breach these Terms and Conditions and Wingrocer Website ignores this, Wingrocer will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms and Conditions.
Wingrocer shall not be responsible for any breach of these Terms and Conditions caused by circumstances beyond its control including but not limited to force majeure, hacking or disruption in payment system.
